SoftBank's USD 40 billion bridge facility: what it does and does not mean for an AI buyer
SoftBank's March 2026 announcement was a USD 40.0 billion bridge facility agreement, not an announcement of a USD 40.0 billion OpenAI equity round. Its stated purposes included funding a separate USD 30.0 billion follow-on investment in OpenAI through SoftBank Vision Fund 2 and general corporate purposes.3

Keep the transaction and the dates straight
The issuer's disclosure identifies 27 March 2026 as the facility agreement's execution date and 25 March 2027 as its maturity date. A facility amount is not the same statement as an amount already drawn or an equity investment completed.3
In a 9 September 2026 update, SoftBank said USD 30.0 billion had been drawn in aggregate and that it had decided to prepay the outstanding USD 25.9 billion on 15 September 2026. That release reports a decision and notice to lenders; it is not, by itself, confirmation that the later repayment occurred.15

- What do the current terms say about changes, notice, export, retention and service termination?
- Which prompts, configuration, workflow records and output formats can you retain or move?
- Who approves a new provider or a materially changed data flow?
- What manual or already-approved alternative keeps the business task running during a disruption?
Do not treat an Australian address or local storage statement as eliminating every privacy or jurisdiction question. Request deployment evidence and obtain the advice appropriate to your information and use. This article does not assess legal compliance.
A small continuity exercise
We recommend choosing one non-critical workflow and describing a hypothetical supplier outage. Identify the last trusted source record and the person who could resume the task manually. Then list the evidence needed before connecting an alternative service. Use synthetic information if you rehearse it.

Keep the buying decision separate from the headline
